Terms of Service
These terms set out the basis on which Boklink software, websites, and related services are made available, and what is expected of the organizations and people who use them.
Commercial terms — fees, notice periods, liability caps, governing law, service commitments — carry real financial and legal consequences. They are the responsibility of Boklink legal and are therefore left as marked placeholders rather than written here.
The headings show the structure a set of software terms is expected to cover. Replace each placeholder with approved wording, remove this notice, and set the effective date.
Required inputs before publication
Not part of the published terms
- Full legal entity name, registration number, and address of the contracting party.
- Whether separate documents exist that must be incorporated by reference — for example a data processing addendum, service level agreement, or acceptable use policy — and where they live.
- The standard subscription term, renewal mechanics, and the notice period for cancellation.
- Payment terms, currency, invoicing cycle, and what happens when payment is late.
- The liability cap, and whether any categories of loss are excluded or made unlimited.
- The governing law and the venue or arbitration process for disputes.
- Trial length and any limits applied during a trial.
- Whether consumer protection rules apply in any market you sell into, which changes several clauses.
Acceptance of these terms
These terms apply when the software or website is used, when an account is created, or when a subscription is agreed to. Where an organization has signed a separate written agreement with Boklink, that agreement governs to the extent of any conflict.
If these terms are accepted on behalf of an organization, the person accepting confirms they are entitled to do so.
Accounts and eligibility
- Accounts are issued to organizations, and individual access is granted under the organization’s subscription.
- Account administrators decide which modules and permissions each user receives.
- Credentials must be kept confidential and must not be shared between people.
- Suspected unauthorized access must be reported to Boklink without delay.
- Accurate registration details are required and must be kept up to date.
To be supplied before launch
- Minimum age and any eligibility restrictions you intend to state.
- The process for verifying organization details before issuing access.
- Whether the customer is responsible for its users’ compliance, and how that responsibility is described.
Trials and subscriptions
A trial, where offered, is provided so the software can be evaluated. A trial may be time-limited or feature-limited, and may be changed or withdrawn before it ends.
A subscription begins when it is agreed and continues as described in the order or the applicable agreement. Subscriptions are for the modules and usage levels set out in the order.
To be supplied before launch
- Trial length, the exact limits applied, and what happens to trial data if no subscription is taken.
- Whether trials convert automatically into paid subscriptions, and the advance notice given if so.
- Renewal terms: automatic or manual, and the notice required to cancel.
- Whether usage may be increased mid-term and how that is priced.
Fees, billing, and taxes
Fees, the billing cycle, and any renewal price terms are set out in the order or the applicable agreement. Fees are exclusive of taxes unless stated in the order, and taxes are charged where required by law.
To be supplied before launch
- Payment terms and accepted payment methods.
- Whether fees are refundable, and the policy on partial periods.
- The consequences of late payment, including any suspension right.
- How price changes on renewal are communicated and how much advance notice is given.
Acceptable use
The software may not be used to:
- break the law, or help anyone else do so;
- store or transmit material that infringes the rights of others;
- upload malicious code, or attempt to gain unauthorized access to any system;
- probe, scan, or test the vulnerability of the service without written permission;
- resell, sublicense, or provide the service to third parties outside the agreed scope;
- reverse engineer or copy the service, except where the law does not allow that restriction;
- interfere with the normal operation of the service, or place an unreasonable load on it.
To be supplied before launch
- Whether usage limits are enforced technically, and what happens when limits are exceeded.
- The process and consequences for a breach of this section, including suspension rights.
Customer data
Data entered into the software by a customer organization remains that organization’s data. Boklink processes it to provide and support the service, and as instructed under the agreement.
How personal information is handled is described in the Privacy Notice, and in any data processing addendum agreed with the customer.
To be supplied before launch
- Whether a data processing addendum is available, how it is accepted, and where the current version is published.
- Export rights on termination: what can be exported, in which format, and for how long after the term ends.
- What happens to customer data after the retention window following termination.
Intellectual property
The software, its documentation, and its design are owned by Boklink or its licensors, and are made available for use under these terms rather than sold. No rights are granted beyond those needed to use the service as agreed.
Names, logos, and marks remain the property of their respective owners and may only be used with permission.
Third-party services
The service may connect to products supplied by other companies. Those products are governed by their own terms, and Boklink is not responsible for them.
To be supplied before launch
- Whether any third-party component is required for core functionality, and what happens if it becomes unavailable.
Warranties and disclaimers
Boklink will provide the service with reasonable care and skill. The wording of the service commitment, and the remedies available when it is missed, are set out in the agreement or service level terms.
Legal wording required
- The warranty statement itself, and any express service level commitments, with credits or remedies.
- Exclusions and disclaimers, including any disclaimer of implied warranties, drafted for the markets you sell into.
- Whether the software output may be relied on for accounting, tax, or compliance decisions — this is a material statement and must come from legal.
Limitation of liability
The extent to which each party is responsible for losses arising from these terms is an agreed allocation, set out in the agreement. Amounts and exclusions are not stated here.
Legal wording required
- The liability cap and how it is calculated, for example as a multiple of fees paid in a defined period.
- Which categories of loss are excluded, such as indirect or consequential loss.
- Any liabilities that cannot be limited by law, and whether they are stated as unlimited.
- Whether the allocation differs depending on the cause, such as breach of confidentiality or data protection obligations.
Term, suspension, and termination
The agreement continues for the term set out in the order. Either party may end it as provided in the agreement, and access may be suspended where there is a serious or repeated breach, a security risk, or a legal requirement to do so.
To be supplied before launch
- The notice period for termination for convenience, and whether fees for the remaining term are due.
- What happens to data access and export after termination, and the window allowed for export.
- Whether suspension for non-payment is immediate or follows a notice period, and any reinstatement fee.
Governing law and disputes
The law that governs these terms, and the process for resolving disputes, are set out in the agreement.
Legal wording required
- The governing law and jurisdiction, or the arbitration body and seat if arbitration is used.
- Whether there is a required escalation process before formal proceedings.
- Whether disputes with consumers in any market must be handled differently.
Changes to these terms
These terms are updated when the service changes or when the law requires it. Material changes are communicated with notice before they take effect, and continued use after that point means the updated terms apply.
To be supplied before launch
- The notice period for material changes, and whether customers may terminate instead of accepting them.
Contact
Questions about these terms can be sent using the contact page. Account and billing questions are usually fastest to resolve through your account administrator or the support channel in your agreement.
Contact details to be supplied
- Legal notice address and email, and whether formal notices must be sent by post.
- The entity and address to which legal notices should be addressed.
